1. Eligibility: The “Video Contest: Alcohol Killer Contest 02” ("Contest") is open to anyone who is at least 18 (eighteen) years of age at time of entry and a legal resident of the United States (“Entrant”). Employees of Alcohol Killer USA, Inc., and any parent and affiliate companies, as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Contest is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.
2. Sponsor: Alcohol Killer USA, Inc. Cleveland, OH 44114. Administrator: LESS Productions, Cleveland, OH 44114.
3. Agreement to Official Rules: Participation in this Contest constitutes Entrant's full and unconditional agreement to these Official Rules and Sponsor's and Administrator's decisions, which are final and binding in all matters related to this Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.
4. Timing,: The Contest begins on January 16, 2010 at 12:00 a.m. Eastern Time ("ET"), and ends on December 31, 2010 at 11:59 p.m. ET ("Contest Period"). Three winning Entrants and their Submissions (“Winners”) will be announced by January 15, 2011. Cash prizes will be distributed by February 1, 2011.
5. How to Enter: Entrants must submit a You Tube original video response (“Submission”) to the video titled “Alcohol Killer Contest 02! w/01 Results!” on the Alcohol Killer You Tube Channel. Submissions must meet You Tube’s standards for video hosting. Submissions are required to mention or include images of Alcohol Killer products. By uploading Submission, Entrant agrees that the Submission conforms to the Submission Goal, Guidelines and Content Restrictions defined below (collectively, "Guidelines and Restrictions") and that the Sponsor, in its sole discretion, may remove a Submission and disqualify a Submission from the Contest if Sponsor determines, in its sole discretion, that a Submission fails to conform to the Guidelines and Restrictions. Acceptance of a Submission will be made to Entrant’s You Tube account and Entrant must complete registration information that will include Entrant’s legal name, age, contact email and daytime phone number and submission title before Submission will be posted. Submission will not be posted without registration information; Sponsor will use Entrant information only for purposes of registration.
Submission Goal:
Create a video clip that is humorous and funny. The goal is to make viewers laugh. Sponsor will use video as part of publicity campaign to promote the use for its product, Alcohol Killer, in North American market. Alcohol Killer is a positive product and as a beverage, is a healthier alternative to coffee, soda or many commercial energy drinks. To better understand Sponsor product, visit www.alcoholkiller.com. Entrants will be competing for three (3) cash prizes: 1,500.00 USD (Grand Prize); 500.00 USD (Second Prize); and 250.00 USD (Third Prize). Only the Entrants of the three (3) Submissions as judged by the criteria below will be eligible for cash prizes.
Submission Guidelines:
• The Submission must conform to YouTube guidelines; • The Submission must be sixty (60) seconds or less in length, including any tags, be primarily in English, and not exceed one (1) GB in size (exception is granted only to submissions from previous contest*, that didn’t win any prize); • Submissions may include one or more Entrants. In the event of a group Submission: o each and every Entrant in the group must be identified during registration; o one Lead Entrant must be identified if more than one Entrant included in registration; and • Only Lead Entrant will be eligible to receive the prize; however, all other Entrants identified during registration will be recognized on the Alcohol Killer website. Content Restrictions: • The Submission must not contain material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement; • The Submission must not disparage Sponsor, Administrator or any other person or party affiliated with the promotion and administration of this Contest; • The Submission must not contain brand names or trademarks, or logos other than those of Alcohol Killer, which Entrant has a limited license to use for the sole purpose of creating and uploading a Submission in this Contest; • The Submission must not contain music, footage, images, photos or artwork for which the Entrant does not have permission to use; • The Submission must not contain material that is obscene hateful, tortuous, defamatory, slanderous or libelous; • The Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; • The Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where Submission is created; and • The Submission must not display alcoholic beverages or use of alcoholic beverages if the Entrant or any individuals included in the Submission are younger than 21 years of age.
For All Submissions:
An Entrant can upload multiple Submissions. Submissions generated by script, macro or other automated means are void. Entrant must have permission from all individuals that appear in the Submission to use their name and likeness in the Submission and to grant the rights set forth herein. If requested by Sponsor, Entrant must be able to provide such permissions in a form acceptable to Sponsor. In the event of a dispute as to any Submission, the authorized account holder, at time of entry, of the email address used to register for the Contest will be deemed to be the Entrant and must comply with these Official Rules. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. The Entrant may be required to show proof of being the authorized account holder. To be eligible to win, Submissions must be uploaded to the contest website no later than December 31, 2010. Sponsor retains final discretion to determine if a Submission will be posted. Only Submissions that were previewed and posted by Sponsor will be eligible to be for contest. Counting of number of views begins after Sponsor previews and posts Submission, which will be within 24 hours the response upload.
By entering a Submission in this Contest, the Entrant agrees to:
• Grant the Sponsor an irrevocable, royalty-free, worldwide right and license to: (i) use, publish, review, assess, test and otherwise analyze a Submission and all its content in connection with this Contest; (ii) modify a Submission and all its content, as necessary to publish online; (iii) publish, distribute and otherwise use a Submission, and all content, in whole or in part, in connection with the promotion of this Contest or for Sponsor’s additional marketing purposes in all media (now known or later developed) without attribution or compensation to the Entrant, his/her successors or assigns, or any other entity, unless prohibited by law; and (iv) only with Entrant permission, use and publish Entrant name and likeness and the name and likeness of all individuals included in the Submission, including, but not limited to image, voice, actions, appearance and biological information; in any and all media now known or hereafter devised, worldwide in perpetuity in or in connection with the Contest, and in television, radio, internet, print and other advertisements and promotions for the Contest; • Sign any necessary documentation that may be required for Sponsor and its designees to make use of the rights granted above; • Understand and acknowledge that Sponsor and/or its designees may have developed or commissioned materials similar or identical to your Submission and you waive any claims you may have resulting from any similarities to your entry; • Understand that Sponsor and/or its designees cannot control the incoming information you will disclose to our representatives in the course of entering, or what our representatives will remember about your entry. You also understand that Sponsor and/or its designees will not restrict work assignments of representatives who have had access to your entry. By entering this Contest, you agree that use of information in Sponsor and/or its designees representatives' unaided memories in the development or deployment of products or services does not create liability for Sponsor and/or its designees under this agreement or copyright or trade secret law; • Revoke all claims to Submissions and agrees to not allow the use of Submission material in other public, promotional or commercial venues by any entity other than the Sponsor; • Understand that you will not receive any compensation or credit for use of your entry, other than what is described in these Official Rules; and • Understand that Sponsor and/or its designees cannot control, and are not responsible for any unauthorized use of your Submission by visitors to websites where Sponsor and/or its designees publish your entry.
While Sponsor and/or its designees reserve these rights, each are not obligated to use your entry for any purpose, even if Submission has been selected as a winning entry.
6. Determination of Winners: The Winners will be determined according to Judging Criteria (used to determine three (3) Finalists). The judging criteria are as follows: • Highest number of views on You Tube determined by the “views” rating accompanying each video posting - 50%; • Popular vote by the Sponsor’s employees - 50% Potential Winners will be notified by mail, email or telephone by January 15, 2011. Each potential Winner will be required to execute and return to the Administrator, within seven (7) days of the date notice or attempted notice is sent, an Affidavit of Eligibility, Liability and Publicity Release ("Affidavit"). If a potential Winner cannot be contacted within a reasonable time period, fails to execute and return the Affidavit within the required time period, is not in compliance with these Official Rules, or prize notification is returned as undeliverable, such potential Winner forfeits the prize. If a potential Winner is disqualified for any reason, the prize may be awarded to an alternate, if any, at Sponsor's sole discretion. Only three (3) alternate Winners will be selected according to Judging Criteria, after which the applicable prize will remain un-awarded. Prizes will be delivered to confirmed Winners by February 1st, 2011; Acceptance of any prize shall constitute and signify Winner's agreement and consent that Sponsor and its designees may use the Submission and/or prize information in connection with the Contest for promotional, advertising, public relations or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law; The first place (Grand Prize) Winner will receive one thousand (1,500) USD; the second place Winner will receive five hundred (500) USD; the third place winner will receive two hundred fifty (250) USD. Winners are responsible for all federal, state and local taxes and any other costs, expenses or fees associated with prize acceptance and/or use not specified herein as being provided. Limit: One (1) prize per household; and, The list of Winners will be posted and available for six (6) months on Sponsor’s website, www.alcoholkiller.com.
7. Release: By participating, Entrant agrees to release and hold harmless the Sponsor, Administrator and their respective subsidiaries, affiliates, suppliers, distributors and advertising/promotion agencies from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize. Entrants must obtain parental consent for each person under age 18 (including themselves, if applicable) who appear in the video and confirm that consent was received.
8. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. If terminated Sponsor may determine the winners from among all eligible Submissions received up to time of such action using the Judging Criteria outlined above. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the Submission process or the operation of the Contest or to be acting in violation of these Official Rules or those of any other promotion or in an unsportsmanlike or disruptive manner and void all associated Submissions. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys' fees) from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The Contest will be Void if less than ten (10) Submission received on or before December 31, 2010.
9. Limitations of Liability: Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrant, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Submission process or the Contest; (4) printing, typographical, technical, computer, network or human error which may occur in the administration of the Contest, the uploading, the processing or judging of Submissions or votes or the tabulating of votes, the announcement of the prizes or in any Contest-related materials; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Contest or receipt or use or misuse of any prize (including any travel/activity related thereto). Released Parties are not responsible for misdirected or undeliverable Submissions or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any unauthorized third party use of any Submission.
10. Disputes: Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Northern District of Ohio or the appropriate Ohio State Court located in Cuyahoga County and the venue of any action shall be in the County of Cuyahoga, Ohio; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys' fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Ohio without giving effect to any choice of law or conflict of law rules (whether of the State of Ohio or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Ohio.
11. Entrant's Personal Information: Information collected from Entrant is subject to Sponsor's Privacy Policy posted on the Sponsor’s web site. * Previous contest is to be consider the Alcohol Killer Youtube Contest started on July 4, 2009 and ended on December 31, 2009.
